Terms of service

Effective date: October 29, 2026

These Terms & Conditions constitute a public offer for the online sale of mutaé objects under Ukrainian law. They apply only to orders placed through the checkout on mutaeconcept.com and paid for either through checkout or by bank transfer against an invoice emailed after the order is placed. By successfully completing payment, the buyer accepts these Terms and enters into an electronic sale contract with the seller identified below.

SCOPE AND ELIGIBILITY

These Terms apply only to consumer orders completed through Website checkout. Business, wholesale, editorial loan, collaboration, and other B2B arrangements require a separate written agreement.

By placing an order, the buyer confirms that they are at least 18 years old, have legal capacity to enter into the contract, and provide information on their own behalf or with proper authority.

2. Electronic Contract

OFFER AND ACCEPTANCE

The object page, cart, checkout information, any invoice issued after the order is placed, these Terms, and the policies incorporated below form the Seller's electronic offer.

Before payment, the buyer can review and correct the selected objects, quantities, contact details, delivery information, and total amount. By successfully completing payment through checkout or by bank transfer against an invoice emailed after the order is placed, the buyer accepts the offer. The electronic contract is concluded when payment is successfully processed through checkout or the bank transfer is received.

After the order is placed, an automatic confirmation is sent to the email provided at checkout. This confirms receipt of the order, not receipt of payment. Preparation of in-stock objects or production of made-to-order objects begins only after payment is received, subject to the exceptional cancellation grounds in Section 5.

INCORPORATED DOCUMENTS

The following form part of the contract and should be read before payment:

  • the relevant object page and selected configuration;

  • the order summary and confirmation, and any invoice issued for payment;

  • these Terms & Conditions;

  • Shipping & Duties;

  • Returns & Refunds;

  • Privacy Policy.

Product-specific information in the paid order confirmation and the object page as displayed at the time of payment prevails over general product information. These Terms govern general sale conditions, while Shipping & Duties and Returns & Refunds govern their respective subjects.

The version of these documents available at the time of payment applies to the order.

3. Objects and Availability

AVAILABLE OBJECTS

Checkout is available only for objects identified as in stock or actively available for made-to-order production. An unavailable, sold-out, or inactive object cannot be ordered unless mutaé confirms a separate arrangement in writing.

OBJECT INFORMATION

We take reasonable care to present each object accurately. Natural variations in leather grain, shine, or tone; minor variations in hand assembly that do not materially affect the overall appearance, function, quality, or durability; and slight differences caused by lighting, photography, or display settings are characteristics of the object and do not constitute a different colour or a defect.

mutaé may make minor technical changes during production only where they do not change the object's appearance, function, quality, or included components.

4. Buyer-Requested Changes and Cancellation

CHANGES AFTER PAYMENT

Requests to change an object, configuration, components, or quantity after payment are considered individually. mutaé does not guarantee that a requested change can be made once an order has entered processing or production. Any approved change and additional charge must be confirmed in writing.

BUYER CANCELLATION

Once payment has been successfully completed, the buyer cannot cancel the order before dispatch merely because they changed their mind. Any statutory right to return an eligible object after delivery is governed exclusively by our Returns & Refunds policy and mandatory Ukrainian law.

5. Seller Cancellation and Order Restrictions

EXCEPTIONAL CANCELLATION

mutaé may cancel an order after payment only where:

  • production becomes impossible or a required material is unavailable;

  • the Website contains an obvious material error in price, description, configuration, availability, or checkout calculation;

  • there is a reasonable suspicion of fraudulent, unauthorised, or otherwise unlawful payment;

  • delivery to the buyer's destination is unavailable, prohibited, or cannot legally be completed;

  • the order violates the customer, destination, sanctions, quantity, or resale restrictions below.

If mutaé cancels a paid order, we will notify the buyer and return the full amount actually received by mutaé in UAH to the original payment method within 14 calendar days. Banks and payment providers may require additional processing time.

RESTRICTED CUSTOMERS AND DESTINATIONS

mutaé does not accept orders placed by citizens of the Russian Federation or the Republic of Belarus, regardless of their place of residence, and does not deliver to either country. We may also refuse or cancel orders involving persons, territories, transactions, or destinations subject to applicable sanctions, trade restrictions, carrier restrictions, or law.

QUANTITY AND RESALE

An order for three or more identical units of one SKU requires prior written approval. Orders that appear to be intended for resale, distribution, or other commercial use may be refused or cancelled unless separately agreed with mutaé.

6. Prices, Payment, and Taxes

PAYMENT CURRENCY

Base prices and the order total at checkout are in Ukrainian hryvnia (UAH). For an international bank transfer, we may issue an invoice in US dollars (USD) after the order is placed. The amount and currency of that payment are specified in the invoice before payment. Refunds are processed in Ukrainian hryvnia (UAH). Prices displayed on the Website in USD, EUR, or another currency are estimates for convenience only; this does not apply to the amount stated in a USD invoice.

The amount shown in another currency may differ from the final amount reflected by the buyer's bank because of exchange rates, bank conversion rules, payment network rules, or fees. These differences are determined by third parties and are not reimbursed by mutaé unless mandatory law requires otherwise.

PRICE CHANGES AND ERRORS

mutaé may change prices, descriptions, images, availability, and other Website content at any time. Changes apply only to future orders and do not alter an order already paid for.

The Website may occasionally contain typographical, technical, or other inadvertent errors. We may correct them at any time. If an obvious material error affects a paid order, we will contact the buyer and may cancel the order under Section 5 with a full refund of the amount received in UAH.

TAXES AND DELIVERY COSTS

Product prices include taxes payable by mutaé under Ukrainian law unless expressly stated otherwise.

Delivery within Ukraine is subject to the rates and any current free-delivery offers specified in Shipping & Duties. International delivery is calculated at checkout and paid together with the order, either through checkout or by bank transfer against the invoice. Import duties, taxes, customs clearance fees, brokerage fees, and other destination-country charges are not included unless expressly shown at checkout and remain the recipient's responsibility. Full details are provided in Shipping & Duties.

7. Buyer Information and Electronic Communications

ACCURATE INFORMATION

The buyer must provide complete, current, and accurate contact, payment, delivery, recipient, and customs information. The buyer must promptly email mutaeconcept@gmail.com if any information needs correction.

We will try to make a requested correction before dispatch but cannot guarantee changes after the order has entered processing or has been transferred to the carrier. Costs caused by incorrect, incomplete, or outdated information supplied by the buyer are borne by the buyer as described in Shipping & Duties.

COMMUNICATIONS

The buyer agrees that order confirmations, invoices or receipts, tracking information, notices, return instructions, and other order communications may be provided electronically using the email supplied at checkout.

Instagram @mutae.concept may be used for general questions, but formal order, return, shipping claim, and legal communications must be sent to mutaeconcept@gmail.com.

8. Shipping, Risk, and Duties

DELIVERY CONDITIONS

Processing periods, available carriers, estimated delivery times, delivery costs, customs obligations, address rules, tracking, and claims are governed by Shipping & Duties.

By placing an order, the buyer agrees that mutaé may select the carrier and service available for the destination, subject to the delivery option selected at checkout.

TRANSIT RISK AND CARRIER CLAIMS

To the extent permitted by mandatory law, mutaé's obligation to hand over the order for delivery is fulfilled, and the risk of accidental loss or damage during transit passes to the buyer, when the parcel is accepted by the carrier. The carrier is then responsible for the parcel's physical safekeeping under its terms and applicable law.

mutaé remains responsible for the object's condition, correct components, and appropriate packing before handover. For carrier-caused loss or damage, mutaé will assist with or submit the carrier or insurance claim. Any replacement, reproduction, refund, or other resolution is considered after the claim is officially confirmed.

9. Returned and Unclaimed Orders

If a parcel is returned because of unpaid duties or taxes, refusal, non-collection, an unreachable recipient, or incorrect or incomplete information supplied by the buyer, the order is not automatically refunded.

The buyer is responsible for applicable return, storage, address-correction, customs, and redelivery costs. Redelivery is arranged only after the buyer confirms the required information and pays those costs.

The buyer must do so within 14 calendar days after mutaé's email notification. If the buyer does not respond or pay within that period, the order is treated as unclaimed. mutaé is not required to store it indefinitely or issue a refund, except where mandatory law requires otherwise. Full conditions are stated in Shipping & Duties.

10. Returns, Order Issues, and Defects

Eligible returns, incorrect or incomplete orders, transit damage, defect claims, inspection, refund amounts, refund currency, and refund timing are governed by Returns & Refunds.

Claims concerning defective objects and any available remedies are handled in accordance with mandatory Ukrainian consumer protection law.

Nothing in these Terms or the incorporated policies limits any consumer right that cannot legally be excluded or restricted.

11. Force Majeure and External Disruptions

mutaé is not liable for delay or failure to perform an obligation to the extent directly caused by an extraordinary or unavoidable event outside our reasonable control. Such events may include hostilities, attacks, air-raid restrictions, emergency power or communication outages, natural disasters, fire, government restrictions, border closures, customs disruption, or carrier interruption.

These events do not automatically cancel the order or release mutaé from every obligation. The affected obligation and timing are suspended or extended only for the period and to the extent the event actually prevents performance. We will inform the buyer when reasonably possible.

If performance becomes permanently impossible, mutaé may cancel the affected order and refund the full amount actually received in UAH to the original payment method under Section 5.

12. Intellectual Property

All Website content, including the mutaé name, product names, text, photographs, graphics, video, designs, visual identity, and other materials, belongs to mutaé or is used with permission and is protected by applicable intellectual property law.

Website images and text may be shared for non-commercial purposes with clear attribution to mutaé. Reproduction, modification, sale, commercial use, distribution, scraping, or use in advertising, products, training materials, or other commercial projects requires prior written permission from mutaé.

13. Personal Data

Personal data submitted through the Website is processed to administer payment, production, delivery, customer service, legal compliance, fraud prevention, and other purposes described in our Privacy Policy.

Payment and delivery services may process information under their own terms and privacy policies where necessary to complete the order.

14. Responsibility

mutaé is responsible for its own obligations under these Terms and mandatory Ukrainian law. We are not responsible for:

  • exchange rates, bank, payment-network, or card-issuer fees;

  • import duties, taxes, brokerage, customs decisions, or charges imposed by third parties;

  • carrier-caused loss, damage, or delay, which is handled through the carrier claim process, except where the issue resulted from a mutaé error or mandatory law requires otherwise;

  • losses caused by inaccurate information supplied by the buyer;

  • delay or failure covered by Section 11.

This Section does not exclude liability that cannot legally be excluded, limit mandatory consumer rights, or excuse intentional misconduct by mutaé.

15. Governing Law, Disputes, and Language

GOVERNING LAW AND DISPUTES

These Terms, the electronic contract, and all Website sales are governed by Ukrainian law.

Before starting formal proceedings, the buyer may send a written claim to mutaeconcept@gmail.com. We will attempt to resolve the matter through correspondence. If no resolution is reached, the dispute is handled under Ukrainian law by the competent authority or court, subject to any mandatory rights that cannot legally be excluded.

LANGUAGE

These Terms may be published in Ukrainian and English. If the versions differ, the Ukrainian version prevails.

16. Changes, Severability, and Contact

CHANGES TO THESE TERMS

mutaé may update these Terms by publishing a new version on the Website. A new version applies only to orders paid for after its effective date. The version in force at the time of payment continues to apply to an existing order.

SEVERABILITY

If any provision is found invalid or unenforceable, it is applied to the maximum extent permitted by law or removed to that extent. The remaining provisions continue in effect.
